Terms of Service

These terms govern your use of the adUniScale website and platform. Please read them before creating an account. They form a binding agreement, so we have kept them as direct as we can.
1. Who you are contracting with
The service is provided by adUniScale AI Private Limited, a company incorporated under the laws of India (CIN: U62099KA2026PTC223379), with its registered office at Innov8, Prestige Tech Park, Platina 2, 11th Floor, No. 32/2,34/1, Outer Ring Road, Kadubeesanahalli, Bengaluru, Karnataka 560087, India ("adUniScale", "we", "us", "our").
2. Acceptance and eligibility
By creating an account or using the service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the service.
You must be at least 18 years old. If you are using adUniScale on behalf of a company or other organisation, you confirm that you have authority to bind that organisation to these terms, and "you" then means both you and that organisation.
3. What the service does
adUniScale generates advertising creative — scripts and images — from the briefs you supply, using third-party AI models. The provider and model behind any given feature can change, and features may be added, altered or withdrawn.
The service is under active development. Parts of it are experimental, output quality varies, and behaviour may change without notice. You should evaluate the service's suitability for your purposes before relying on it.
4. Your account
You are responsible for your account credentials and for everything done through your account. Accounts are for a single person; do not share them. Tell us promptly at hello@aduniscale.ai if you believe your account has been accessed without your permission.
You must give accurate registration information and keep it current. We may refuse, suspend or close an account that breaches these terms.
5. Credits
Usage of the service is metered in credits. Credits are granted to your account when you sign up and may be granted or adjusted by us at our discretion. Generating scripts or images, and editing images, consumes credits. If a generation fails, the credits charged for it are refunded to your balance automatically.
Credits cannot currently be purchased and have no cash value. They are not money, not a stored-value instrument, and not property. They are non-refundable, non-transferable and non-exchangeable, and they may expire or be adjusted if we change how the service is metered. We may introduce paid plans in future, in which case we will publish the applicable terms before charging anyone.
Running out of credits prevents further generation but does not affect your access to work you have already produced.
6. Content you provide
You keep ownership of the briefs, text, logos, photographs and other material you upload or enter ("Your Content"). We claim no ownership of it.
You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, modify and transmit Your Content strictly for the purpose of operating the service for you. This necessarily includes transmitting Your Content to the third-party AI providers that generate your output — see section 4 of the Privacy Policy for who those providers are and where they process data. The licence ends when you delete the content or close your account, except for copies retained as described in that policy.
You warrant that you own Your Content or have the rights and permissions needed to use it, including for any brand assets, logos, product photographs, trademarks or images of people it contains, and that our processing of it will not infringe anyone's rights or break any law.
7. Output the service generates
Subject to your compliance with these terms, you may use the scripts and images generated for you for any lawful purpose, including commercially. We assert no ownership over your output.
Two limits on that, which follow from how generative models work:
- Output is not unique. The same or a similar brief may produce similar output for someone else. We cannot and do not promise exclusivity in anything generated.
- Output is not warranted to be free of third-party rights. We do not guarantee that generated material is original, or that using it will not infringe a copyright, trademark or other right. Clearing output for your intended use is your responsibility.
Your use of generated output is also subject to the terms of the upstream AI provider whose model produced it.
8. AI output requires your review
Generated content can be inaccurate, misleading, culturally inappropriate, grammatically wrong, or contain malformed or misspelled text — including in Indian language scripts, where rendering errors are common across all current image models.
You must review generated content before publishing or distributing it. The service is a drafting tool, not a substitute for human judgement, and we make no representation that any output is accurate, compliant with advertising regulation, or fit for any particular purpose.
9. Acceptable use
You must not use adUniScale to create, upload or distribute:
- anything unlawful under Indian law, or that promotes illegal activity;
- content that infringes copyright, trademark, publicity or privacy rights;
- deceptive advertising, fraudulent claims, or material designed to mislead consumers;
- content impersonating a real person or organisation, or synthetic depictions of real individuals without their consent;
- sexually explicit material, content sexualising minors, or content that is hateful, harassing or incites violence against any group;
- malware, or anything intended to damage or disrupt systems.
You must also not:
- attempt to bypass, tamper with or manipulate credit metering, rate limits or access controls;
- attempt to extract, reverse-engineer or reconstruct our underlying prompts, system instructions or model configuration;
- scrape, crawl or bulk-download the service, or access it by automated means other than any API we publish;
- resell or white-label the service, or use it to build a competing product;
- probe, scan or test the security of our systems without our written permission.
We may remove content and suspend or terminate accounts that breach this section, without notice where the breach is serious.
10. Our access to your account
Our administrators can view accounts and their contents, including briefs, prompts, generated output, editing instructions and credit history, through an internal tool. We use this to provide support, investigate faults, manage credits and enforce these terms. We state it here so it is not a surprise.
11. Availability
We provide the service on an "as available" basis and give no uptime commitment. We may suspend it for maintenance, and it depends on third-party AI providers whose availability we do not control. We may modify, limit or discontinue features, and we will give reasonable notice of material changes where we can.
12. Termination
You may stop using the service and ask us to close your account at any time by emailing hello@aduniscale.ai.
We may suspend or terminate your access if you breach these terms, if required by law, or if we discontinue the service. On termination your right to use the service ends immediately and unused credits are forfeited. Export anything you want to keep before closing your account, as we are not obliged to retain it. Sections 6, 7, 8, 13, 14 and 16 survive termination.
13. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted operation. Nothing in these terms excludes any liability that cannot lawfully be excluded.
14. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profits, revenue, goodwill, business opportunity or data, arising out of or in connection with the service, however caused.
Our total aggregate liability arising out of or relating to these terms or the service, across all claims, is limited to the greater of the total amount you have paid us in the twelve months before the event giving rise to the claim, or ₹10,000. Because the service is currently provided without charge, you acknowledge that this cap may amount to ₹10,000.
15. Indemnity
You agree to indemnify and hold harmless adUniScale, its directors, employees and agents against any claim, demand, loss, liability or expense (including reasonable legal fees) arising from Your Content, your use of generated output, your breach of these terms, or your violation of any law or third-party right.
16. Governing law and jurisdiction
These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising out of or relating to these terms or the service, and you consent to that jurisdiction.
17. Changes to these terms
We may update these terms as the service develops. We will revise the date at the top of this page, and for material changes we will notify account holders by email before they take effect. Continuing to use the service after that means you accept the revised terms.
18. General
These terms, together with the Privacy Policy, are the entire agreement between you and us regarding the service. If any provision is held unenforceable, the rest remains in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
